User Obligations

As a user of our services, you agree to:

Account Responsibility

astronexum Rights

  • All rights, title, and interest in and to the astronexum platform and services remain with astronexum
  • Our proprietary analytics algorithms, methodologies, and insights are confidential trade secrets
  • The astronexum name, logo, and branding are registered trademarks of astronexum AS
  • No rights are granted to you other than the limited licence to use our services as described in these Terms

Client Data Rights

You retain ownership of any data you provide to our platform. By using our services, you grant astronexum a limited licence to process your data solely for the purpose of providing analytics services. We will not use your data for any other purpose without your explicit consent.

Feedback and Suggestions

Payment Terms

Limitation Amount

In no event shall astronexum's total liability to you exceed the amount paid by you to astronexum in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless astronexum AS, its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Denmark, without regard to its conflict of law provisions. The Danish courts shall have exclusive jurisdiction over any disputes arising from or relating to these Terms or your use of our services.

Any legal action or proceeding between astronexum and you related to these Terms shall be brought exclusively in the competent courts of Denmark, and you consent to the jurisdiction of such courts.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

Termination

Either party may terminate the service relationship at any time in accordance with the terms specified in the applicable service agreement.

Termination by astronexum

We may terminate or suspend your access to our services immediately, without prior notice or liability, if:

  • You breach any provision of these Terms
  • You fail to pay applicable fees when due
  • Your use of our services poses a security risk or violates applicable laws
  • We discontinue our services or cease business operations

Termination by User

You may terminate your use of our services at any time by providing written notice as specified in your service agreement. Termination does not relieve you of any payment obligations for services already provided.

Effect of Termination

Upon termination:

  • Your right to access and use our services immediately ceases
  • We will return or destroy your data as specified in your service agreement
  • All provisions of these Terms that by their nature should survive termination shall remain in effect
  • You remain liable for any outstanding fees or obligations incurred prior to termination

Force Majeure

astronexum shall not be liable for any failure or delay in performance under these Terms which is due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemic, government regulations, network failures, or other unforeseeable events.

Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and astronexum regarding your use of our services and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the subject matter.
